Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using MyZaahi, you agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

2. Eligibility & Accounts

• You must be at least 18 years old, or the age of majority in your jurisdiction, to enter into these Terms.
• You are responsible for the accuracy of your account information and for safeguarding your credentials.
• You are responsible for all activity under your account.

3. Subscriptions, Billing & Renewals

• Paid plans are billed on a recurring basis (monthly or annually) through our third-party payment processor.
• Subscriptions renew automatically at the then-current price until cancelled.
• Upgrades take effect immediately and may be charged or prorated at the time of change.
• Downgrades are scheduled for the next billing date. Your current plan and features remain active until the end of the current billing period, after which the lower plan and pricing automatically take effect. Downgrades do not require approval and are not refunded for the current period.
• Promotional pricing and free trials may be offered and may convert to paid plans automatically unless cancelled before the trial ends.
• Taxes may apply based on your location.

4. Cancellation & Refunds

• You may cancel at any time; cancellation stops future renewals. Access continues through the end of the paid period.
• Except where required by law, fees and consumed credits are non-refundable, including for partial periods, unused credits, or features you did not use.
• Editing services and other pay-per-use work are non-refundable once production has begun.

5. Chargebacks & Payment Disputes

If you believe you were billed in error, contact billing@myzaahi.com before initiating a chargeback. Fraudulent or bad-faith chargebacks may result in suspension or termination and collection of amounts owed plus fees.

6. Credits

AI generation, rendering, and certain services consume credits. Credits have no cash value, are non-transferable, and may expire per plan terms. We may adjust credit costs for features with notice.

7. Ownership of Content & License to Process

• You retain ownership of content you upload and of the exported videos you create.
• You grant MyZaahi a limited, non-exclusive, worldwide license to host, store, process, transmit, transcode, and render your content solely to provide and improve the Service.
• You represent that you own or have all rights necessary to upload your content and to grant this license.

8. Acceptable Use Policy

You agree not to use the Service to create, upload, or distribute content that:

• Infringes intellectual property, publicity, or privacy rights;
• Is unlawful, defamatory, deceptive, fraudulent, or harassing;
• Contains malware, or attempts to breach, probe, or disrupt the Service;
• Impersonates a person or brand without authorization, or creates misleading deepfakes;
• Generates voice clones or likenesses without the necessary rights or consent;
• Involves spam, scraping, or excessive automated requests beyond documented limits.

We may remove content and suspend accounts that violate this policy.

9. AI Output Disclaimer

AI-generated scripts, voiceovers, edits, captions, summaries, recommendations, and analytics are produced automatically and may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing and approving all outputs before publishing or using them. AI suggestions are informational only and are not professional advice.

10. No Guaranteed Marketing Results or Revenue

Growth Scores, engagement metrics, retention insights, conversion estimates, and performance predictions are estimates only. We make no guarantee that any video, ad, or campaign will achieve any particular reach, engagement, lead volume, conversion rate, or revenue. Your results depend on factors outside our control.

11. Service Availability, Maintenance & Rendering

The Service is provided on an "as available" basis. AI services and cloud or rendering providers may experience outages, queues, or slowdowns, and we may perform scheduled or emergency maintenance that interrupts the Service. Rendering times vary with file size, queue length, and provider availability. We do not guarantee uninterrupted, timely, or error-free operation.

12. Storage, Deletion & Data Backup Responsibility

Storage limits may apply by plan. Content may be deleted after a retention period or on account deletion, subject to backups and legal requirements. You are responsible for keeping your own copies of original content. We do not guarantee recovery of deleted, corrupted, or lost files.

13. Beta Features

Features labeled Beta, Experimental, or Preview are provided "as is," may change or be withdrawn at any time, and may produce inconsistent results.

14. Intellectual Property

The Service, including the Metra platform, software, design, trademarks, and content we provide, is owned by Zaahi Studios and protected by law. Except for the rights expressly granted to you, we reserve all rights. You may not copy, modify, reverse engineer, or create derivative works of the Service.

15. Copyright & DMCA

We respond to valid copyright notices and may remove infringing material and terminate repeat infringers. Send notices and counter-notices to legal@myzaahi.com.

16. Suspension & Termination

We may suspend or terminate your access for violations of these Terms, abuse, fraud, copyright violations, payment failure or abuse, or excessive automated use. You may stop using the Service at any time. Upon termination, your right to use the Service ends and your content may be deleted subject to our retention and backup practices.

17. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. We do not warrant that the Service or any AI output will meet your requirements or be error-free.

18. Limitation of Liability

To the maximum extent permitted by law, Zaahi Studios and its affiliates, officers, employees, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business, arising from or related to the Service or AI outputs, even if advised of the possibility.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid to us in the three (3) months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

19. Indemnification

You agree to indemnify and hold harmless Zaahi Studios and its affiliates from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Service, your violation of these Terms, or your infringement of any third-party right.

20. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including internet or hosting failures, cloud-provider or AI-provider outages (e.g., AWS or third-party model outages), power failures, natural disasters, labor disputes, or governmental actions.

21. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Indiana, United States, without regard to conflict-of-laws rules. To the extent permitted by law, the parties agree to resolve disputes through binding arbitration on an individual basis and waive participation in class actions. Where arbitration does not apply, the parties consent to the exclusive jurisdiction of the state and federal courts located in Indiana.

22. Changes to These Terms

We may update these Terms from time to time. We will post the updated version with a revised Effective Date and, where changes are significant, provide notice. Continued use after changes become effective constitutes acceptance.
